Terms and Conditions

【Acknowledgment and Acceptance of Terms】

  1. Natalie Co., Ltd. (hereinafter "the Company") provides services at https://www.yu-bar.com/ (hereinafter "the Service") under these Terms of Service. By completing member registration or beginning to use the Service, you confirm that you have read, understood, and agreed to all contents of these Terms, including current and future service items and content.
  2. The Company may modify these Terms at any time. Modified Terms will be published on the website without individual notice to members; members are advised to check for updates regularly. Continued use of the Service after any modification constitutes acceptance of the modified Terms. If you do not agree with this method of revision or any other provision of these Terms, please stop using the Service immediately.
  3. Members under 18 years of age may register and use the Service only after their parent (or guardian) has read, understood, and agreed to all contents of these Terms and subsequent modifications. Use or continued use of the Service is deemed confirmation that the parent (or guardian) has done so.
  4. Both the member and the Company agree that all content of the Service, including expressions of intent, may be conveyed by electronic documents.

【Member Registration Obligations】

To use the Service, members agree to:

  1. Provide accurate, current personal information as prompted by the registration form, and not register in the name of a third party. Each member may register only one account.
  2. Promptly maintain and update personal information to ensure its accuracy.
  3. If a member provides false or inaccurate information, fails to provide information as instructed, lacks necessary information, or registers duplicate accounts, the Company may suspend or terminate the member's account and refuse all or part of the Service without prior notice.

【Privacy Policy】

Member registration and other specific data are protected and governed by the Company's Privacy Policy.


【Account, Password & Security】

Upon completing registration, members receive an account uniquely identified by their email address. Maintaining account confidentiality is the member's responsibility. Any login under the account, whether by the member personally or not, is presumed to be use by the member, who bears full responsibility for all actions taken under the account.

Members agree to:

  1. Notify the Company immediately if their account is compromised or any security issue arises.
  2. Log out at the end of each session.
  3. Use the account and membership benefits personally only; accounts may not be lent, transferred, or shared.
  4. The Company bears no liability for damage caused by account theft, misuse, or situations where the Company cannot verify personal use, unless attributable to the Company.
  5. If the Company learns an account has been fraudulently used, it will immediately suspend the account (including processing of transactions under it).
  6. When logging in via a third-party account (Google, Facebook, LINE, or any email service), the third-party password is handled by that service; the Company never accesses it. Each third-party account may be bound to only one Company member account, and the binding cannot be changed after first use. Login via a third-party account represents the member personally; all actions are deemed the member's own and are subject to these Terms. Members must properly secure their third-party accounts and passwords, including logging out of both the Service and the third-party account after each session.
  7. If a member discloses their personal or payment information and enables use by a third party, the member bears full responsibility for that third party's actions. The Company may suspend or terminate third-party login at any time.

【Protection of Children and Adolescents】

To ensure safe internet use by children and adolescents and protect their privacy, parents (or guardians) should: accompany children under 12 throughout their use of the Service, and consider whether to give consent before adolescents aged 12–17 use the Service.


【User Obligations and Commitments】

Members undertake not to use the Service for any illegal purpose or by any illegal means, and to comply with the laws of the Republic of China (Taiwan) and international internet conventions. Members outside the R.O.C. also agree to comply with the laws of their own country or region. Members agree not to use the Service to infringe others' rights or engage in illegal acts, including but not limited to:

  1. Publishing or transmitting any defamatory, insulting, threatening, offensive, indecent, obscene, false, or otherwise unlawful text, images, or files, or content contrary to public order or good morals.
  2. Infringing the reputation, privacy, trade secrets, trademarks, copyrights, patents, or other intellectual property or rights of the Company or others.
  3. Violating confidentiality obligations under law or contract.
  4. Using the Service under another person's name.
  5. Transmitting or spreading computer viruses.
  6. Engaging in commercial activities without the Company's prior authorization.
  7. Publishing or sending spam, chain letters, illegal or unauthorized multi-level marketing messages or ads; or storing data that infringes intellectual property rights or violates the law.
  8. Conduct that disturbs or offends other users or third parties, or violates general internet etiquette.
  9. Any other conduct inconsistent with the purpose of the Service or that the Company reasonably deems inappropriate.

【Changes to the Service & Newsletters】

  1. Members agree that the Company may add, reduce, change, or terminate service items or content as business needs require, without individual notice.
  2. Members agree that the Company may add, modify, or terminate related activities and inform members by the most suitable means.
  3. Members agree that the Company may send newsletters or product messages (EDM) to the registered email address from time to time. If a member opts out of marketing after receiving such messages, the Company will stop sending them.

【Suspension or Interruption of Service】

The Company maintains normal system operation using generally reasonable technology and methods, but may suspend or interrupt the Service when:

  1. Necessary maintenance or construction is performed on the website's electronic communication equipment.
  2. Sudden equipment failure occurs.
  3. The electronic communication service subscribed to by the website is suspended.
  4. Force majeure (e.g., natural disasters) or other causes not attributable to the Company prevent the website from providing the Service.

【Transactions】

  1. Transactions must follow the quantity and price confirmation mechanisms provided by the Company.
  2. Until the Company confirms a transaction, it reserves the right to decline an order or cancel shipment. After a member places an order, the system automatically issues an acceptance notice, which is not an order confirmation; the Company will separately confirm whether the transaction is established. If the transaction conditions of the ordered goods or services (including but not limited to specifications, descriptions, or images) contain errors, the Company may refuse the order within two business days of placement.
  3. If a member arbitrarily returns or exchanges goods, cancels orders, fails to collect packages, or engages in any conduct the Company deems inappropriate and disruptive or damaging to its operations, the Company may refuse transactions, suspend or cancel specific delivery methods, or cancel membership as appropriate (see Return Policy and Delivery Policy).
  4. For (a) pre-order or (b) customized products, if the product is out of stock or the supplier cannot supply it and the order cannot be fulfilled, the Company will notify the member by the most suitable means (primarily email, supplemented by phone, post, or fax).
  5. Members may exercise their rights under the Consumer Protection Act when transacting through the Service. Any ambiguity in these Terms arising from a member's transaction shall be interpreted in favor of the consumer.

【Limitation and Exclusion of Liability】

  1. All functions of the Service are provided "as is." The Company makes no express or implied warranty as to their performance, speed, completeness, reliability, security, or accuracy.
  2. The Company does not guarantee that emails or content transmitted via the Service's pages, servers, or domains are free of viruses or other harmful elements, nor that transmission or storage of mail, files, or data will be error-free or uninterrupted. The Company is not liable for damage caused by failed, lost, or erroneous transmission or storage.

【Intellectual Property】

  1. All software, programs, and website content used by the Company — including but not limited to works, images, files, information, data, site architecture, screen layouts, and web design — are owned by the Company or other rights holders under law, including trademarks, patents, copyrights, trade secrets, and proprietary technology. No one may use, modify, reproduce, publicly broadcast, adapt, distribute, publish, publicly release, reverse engineer, decompile, or disassemble them without authorization. To quote or reprint any of the foregoing, prior written consent from the Company or the rights holder is required by law. Violations render the member liable to the Company for damages (including but not limited to litigation costs and attorney fees).
  2. Members agree not to infringe the intellectual property rights of others when using the Service.
  3. If a member is involved in infringement, the Company may suspend all or part of the Service or cancel the member's account.

【Member Authorization to the Company】

  1. For data uploaded, transmitted, entered, or provided by members, members agree the Company may reasonably collect, process, store, transmit, and use such data to provide information or services, compile member statistics, conduct research on online behavior, or for any lawful use.
  2. If a member has no legal right to authorize others to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, or publicly release certain data, or to sublicense such rights, the member must not upload, transmit, enter, or provide such data to the Company.
  3. Once data is uploaded, transmitted, entered, or provided to the Company, the member is deemed to have permitted the Company to unconditionally use, modify, reproduce, publicly broadcast, adapt, distribute, publish, and publicly release such data, and to sublicense such rights, without objection.
  4. Members warrant that the Company's use of such data will not infringe any third party's intellectual property rights; otherwise, the member is liable to the Company for damages (including but not limited to litigation costs and attorney fees).

【Special Authorization】

Online transactions or activities may require home delivery or freight carriers to complete delivery or retrieval of goods (or gifts). Members therefore agree and authorize the Company to provide personal data necessary for delivery (recipient name, delivery address, contact phone number, etc.) to delivery carriers and cooperating vendors as needed for the transaction or activity.


【Refusal or Termination of Use】

Members agree that the Company may, for transaction security or any reason — including but not limited to inactivity or violation of the letter or spirit of these Terms — terminate a member's account (or any part thereof) or use of the Service (or any part thereof), or remove and delete any member content within the Service. The Company bears no liability to the member or any third party for such termination.


【Governing Law and Jurisdiction】

The interpretation and application of these Terms, and any dispute arising between members and the Company from transactions related to these Terms, shall be governed by the laws of the Republic of China (Taiwan), with the Taiwan Taipei District Court as the court of first instance — except where the law mandates otherwise.
